MOTIVATEDSELLERS.COM
TRAFFIC AFFILIATE AGREEMENT
This Agreement is entered into by and between Seliger Ideas Inc., d/b/a MotivatedSellers.com (“Company”) and the Affiliate identified in the applicable Insertion Order (“Affiliate”).
1. SERVICES
Affiliate shall direct internet traffic to Company-approved landing pages provided by Company. Affiliate shall not collect, host, pre-populate, or transmit consumer information to Company. Company shall collect all consumer information directly in a TCPA compliant manner.
2. VALIDATION & PAYABLE LEADS
Company may validate all submissions prior to acceptance using internal or third-party verification methods including ownership verification, phone validation, fraud detection, address validation, identity checks, and two-factor authentication.
Most submissions are processed in real-time, however validation or downstream verification may delay final acceptance.
A “Payable Lead” means a submission received on a Company-owned landing page that is accepted by Company and qualifies as payable under the Lead Acceptance Model selected in the applicable IO.
Affiliate acknowledges that payable status may be determined following downstream customer validation and dispute processes.
3. PAYMENT
Affiliate shall be compensated only for Payable Leads as defined herein and in the applicable IO and only after Company receives payment from its downstream customer, if applicable. Company shall have no obligation to compensate Affiliate for submissions that are rejected, outside investor coverage, not monetized (if applicable), or disputed by downstream customers within the applicable IO dispute window. Company shall have no obligation to compensate Affiliate for any submission for which Company does not receive payment or for which payment is later reversed, refunded, or charged back.  Company may offset or claw back payments for any submission later determined to be invalid or disputed.
4. TRACKING
Company’s tracking platform shall be the sole and final source for determining submissions and payable leads.
5. TRAFFIC & TCPA COMPLIANCE
Affiliate shall comply with all applicable marketing and telemarketing laws including but not limited to TCPA, CAN-SPAM, and FTC regulations and shall be solely responsible for its marketing activities. Affiliate shall indemnify, defend and hold harmless Company from any claims, damages, fines, penalties or liabilities arising from Affiliate’s marketing activities or violation of applicable law. ffiliate shall be responsible for all acts and omissions of any sub-affiliate, publisher, traffic source, or downstream partner.
6. INSURANCE
Affiliate shall, at its sole cost and expense, maintain in full force and effect during the term of this Agreement and for a period of not less than two (2) years thereafter: (a) Commercial General Liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 aggregate; (b) Professional Liability / Errors and Omissions insurance with limits of not less than $1,000,000 per claim;  (c) Media Liability or Advertising Injury coverage, including coverage for claims arising under the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and other applicable marketing or privacy laws;
7. SUB-ID
Affiliate shall pass a unique Sub-ID with each submission. Failure to provide Sub-ID may result in rejection or non-payment.
8. OPTIMIZATION
Company may modify payout, pause traffic, cap volume, or reject traffic on a Sub-ID or campaign basis upon written notice. Affiliate shall bear sole responsibility for its media buying decisions and shall not be entitled to compensation for submissions delivered after such notice.
9. LANDING PAGES
All landing pages are owned by Company and are non-exclusive. Affiliate shall not frame, mirror, modify, or replicate any Company landing page.
10. COVERAGE & BUDGET
Company makes no representation regarding downstream investor availability or geographic coverage.
Company shall have no obligation to compensate Affiliate for submissions received outside investor coverage or after campaign pause, cap, or budget exhaustion.
11. NO AGENCY
Affiliate is an independent contractor and has no authority to bind Company or represent itself as acting on Company’s behalf.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Company’s total aggregate liability arising out of or related to this Agreement shall not exceed the total amount paid by Company to Affiliate during the thirty (30) days preceding the event giving rise to the claim.
13. AMENDMENT
Company may amend this Agreement upon notice. Continued participation in any campaign constitutes acceptance of such amendment.
14. TERM
Affiliate shall not commence delivery of traffic until written campaign activation notice is provided by Company.
Either party may terminate this Agreement upon written notice.
15. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Florida. Venue shall be Miami-Dade County, Florida.



Reject Policy: Company may reject submissions in real-time or after downstream review for reasons including but not limited to inaccurate information, duplicate submissions, failed validation, property ownership mismatch, consumer denial, ineligible property, downstream dispute, or outside investor coverage. 
Company reserves the right not to compensate Affiliate for submissions received from non-approved traffic sources, incentivized traffic, co-registration, or non-compliant marketing methods.
Company may reject, return, or deem non-payable any Payable Lead in accordance with Company’s published return and dispute policy available at: https://motivatedsellers.com/returns
This Insertion Order is subject to the Traffic Affiliate Agreement. In the event of any conflict between the IO and the Agreement, the IO shall govern.
